MEMBERSHIP AGREEMENT (“AGREEMENT”) BETWEEN MEMBER APPLICANT (“MEMBER”) AND GUDLIFE

This Membership Agreement, when accepted by the Member, becomes a binding contract between the Member accepting the terms of this Agreement and Gudlife.  Membership rights, privileges and obligations commence upon the acceptance of the Agreement terms by the Member. The Member can accept the Agreement terms by clicking the “I Accept” button at the end of this form.

1. Membership Privileges. Membership privileges include, but are not limited to, (a) the right to access, view and/or download any of the educational support materials available on the Gudlife’s website, including but not limited to, videos, podcasts, audio blogs, workbooks, manuals, handbooks and questionnaires/worksheets  (collectively the “Posted Materials”), (b) access to the online chat or discussion forum, (c) access to guest speakers or live video conferences with guest speakers (“Membership Privileges”).  The subject and topics of any and all Posted Materials shall be at the discretion of Gudlife.  Further, Gudlife shall solely determine the duration of time for which Posted Materials are available to the Member.  Gudlife will schedule guest speakers at its discretion. Membership Privileges are subject to the terms of this Agreement.   Any and all Membership Privileges obtained through this Agreement may be revoked or changed at any time upon notice to the Member.  

2. Advanced Membership Program.  Any Member may elect to participate in the advanced membership program (“Advanced Membership Program”).  The Advanced Membership Program shall include all Membership Privileges set forth in Section 1, and additionally, live one-on-one coaching or group coaching sessions via Internet feed.  Scheduling and times for said sessions shall be at the discretion of the Gudlife.

3. Term and Termination.  This Agreement shall remain in effect until one or more of the following occur: (a) Member fails to meet any requirements of the membership, including the failure to renew membership or non-payment of any Dues owed or payable to Gudlife (b) Gudlife ceases to do business or files for bankruptcy.

4. Confidentiality and Privacy.  This Agreement does not anticipate nor require the exchange of any confidential information or personal health information (“PHI”) from the Member.  Confidential information includes, but is not limited to, Member’s social security number or other personally identifying information.  Member shall be identified in Gudlife’s system by Member’s registered user name and e-mail address. Gudlife will not share membership information or disclose membership information to any outside third party for commercial purposes without obtaining the express and written permission of Member.  Members choosing to participate in the Advanced Membership Program may elect to disclose PHI or confidential information to the coach. The coach shall handle all information disclosed by the Member in accordance with normal industry standards and practices, or in a commercially reasonable manner.   

5. Ownership.  Gudlife shall remain the sole and exclusive owner of all Posted Materials.  Gudlife does not grant nor transfer any right, title or interest in any Posted Materials to the Member.  Access to Gudlife’s Posted Materials is being provided to the Member for the limited and exclusive purpose of educational use.  This Agreement does not grant Member the right to duplicate, distribute, disseminate, license, transfer or sell any Posted Materials.  In the event of a breach of this section, Gudlife retains the right to immediately terminate Membership Privileges and seek further legal action if necessary, including but not limited to, injunction and monetary damages.

6. Notices.  Any notices to Member under this Agreement will be delivered to Member at the e-mail address provided by Member at the time of Member’s registration with Gudlife.

7. Warranties.  There are no warranties given or implied by this Agreement.  Further, Gudlife does not warranty or guarantee any of the Posted Materials which may be accessed through Gudlife’s website as a result of Member’s acceptance of the terms of this Agreement for any use or purpose.

8. Assignment and Restriction on Use.  This Agreement may not be assigned to or used by any third party other than the Member.  Membership Privileges are for the exclusive use of the Member accepting the terms of this Agreement.  Should Gudlife become aware of a transfer of membership or use by a party other than Member, Gudlife shall reserve the right to terminate Membership Privileges immediately.

9. Indemnification and Hold Harmless.  Member agrees to indemnify and hold harmless Gudlife, its members, employees, agents, officers and officials, from and against any and all liabilities, taxes, tax penalties, interest, losses, penalties, damages and expenses of every kind, nature and character, including without limitation, costs and attorney fees, arising out of, or relating to, any and all claims, liens, damages, obligations, actions, suits, judgments, settlements or causes of action of every kind, nature and character, in connection with or arising out of the acts or omissions of Gudlife, its officials, agents and employees and/or subcontractors in the performance of this Agreement.

10. Governing Law.  This Agreement is governed by the laws, jurisdiction and venue of the State of Illinois without regards to principles of conflicts of law. The parties hereto submit to any state or federal court in Illinois as the exclusive jurisdiction for any actions arising hereunder or as a result of any relationship among the parties.

11. Survival/Severability.  All express representations or indemnifications made or given in this Agreement shall survive the grant of Membership Privileges and the termination of this Agreement for any reason. If any provision or part of this Agreement is held to be unenforceable, the Agreement shall be considered divisible and such provision shall be deemed inoperative to the extent it is deemed unenforceable, and in all other respects the Agreement shall remain in full force and effect; provided, however, that if any such provision may be made enforceable by limitation thereof, then such provision shall be deemed to be so limited and shall be enforceable to the maximum extent permitted by applicable law.
